Terms & Conditions

Please read these Terms and Conditions (“Terms”) carefully before subscribing to, accessing, or using DineLoom. DineLoom is an all-in-one restaurant management platform consisting of Point-of-Sale (POS) systems, QR table ordering software, Kitchen Display Systems (KDS), table reservation modules, inventory tools, and multi-channel aggregation services.

The DineLoom platform is developed, operated, maintained, and legally owned by Rainbow Techsol, a trading brand of RBTS Innovations Private Limited, an incorporated private limited company having its registered office in India (referred to as “Rainbow Techsol”, “Company”, “we”, “us”, or “our”).

By creating an account, purchasing a subscription plan, logging into the POS or Admin portals, scanning a DineLoom QR code, or utilizing any of our APIs, you (“User”, “Tenant”, “Merchant”, or “Customer”) agree to be bound by these Terms and our companion Privacy Policy. If you do not agree with any provision herein, you must cease all access to and use of DineLoom immediately.

For the purpose of these Terms:

• “Platform” or “Service”: Refers to the DineLoom cloud software, including the Web POS (pos.dineloom.com), Customer QR App (order.dineloom.com), Super Admin portal, REST APIs, KDS screens, and public website.
• “Restaurant Tenant” or “Merchant”: Any restaurant, cafe, bar, food truck, cloud kitchen, or hospitality establishment that registers an account on DineLoom to manage its food and beverage operations.
• “Staff User”: Any individual granted login credentials by a Restaurant Tenant (e.g., manager, cashier, server, chef) to operate the POS or KDS.
• “Diner” or “End Customer”: Any individual who scans a DineLoom table QR code, browses a menu, places an order, books a table, or submits dining feedback.
• “Subscription Plan”: The commercial SaaS licensing tier (Basic, Premium, Enterprise, or custom) selected and paid for by the Restaurant Tenant.

To register as a Restaurant Tenant on DineLoom, you represent and warrant that:

• You are at least 18 years of age and possess full legal capacity to enter into binding contracts under applicable law.
• You are an authorized legal representative or owner of the food and beverage establishment and hold all necessary statutory licenses (including FSSAI registration in India, municipal health trade permits, and valid GSTIN/tax registration).
• All information provided during onboarding (legal name, address, menu items, prices, bank account for settlements) is true, accurate, and current.

You are responsible for maintaining the strict confidentiality of all administrative and staff user passwords. Any activity conducted under your tenant account is deemed to be authorized by you. Rainbow Techsol will not be liable for any loss resulting from unauthorized access caused by compromised credentials.

DineLoom is provided on a software-as-a-service (SaaS) subscription basis. The terms governing billing are as follows:

• Subscription Tiers: Features, table limits, user caps, and support tiers are defined by the specific plan (Basic, Premium, Enterprise) selected at the time of purchase.
• Billing Cycles & Advance Payment: Subscriptions are billed in advance on a recurring monthly or annual cycle. Payment must be cleared prior to the commencement of each billing period.
• Statutory Taxes: Unless explicitly noted otherwise, quoted subscription prices exclude applicable statutory taxes. In India, Goods and Services Tax (GST at 18%) or applicable local cess will be added to every invoice. Invoices will reflect the GSTIN of RBTS Innovations Private Limited.
• Payment Processing: Online subscription payments are routed through authorized payment gateways (such as Razorpay, PhonePe, Cashfree, or Stripe). By subscribing, you authorize recurrent billing against your registered payment instrument.
• Late Payment & Suspension: If subscription payment fails or is overdue by more than 7 calendar days, Rainbow Techsol reserves the right to suspend POS, KDS, and QR ordering capabilities until all outstanding invoices are cleared.

We aim for complete satisfaction, but operate under standardized SaaS subscription refund terms:

• Cancellation by Merchant: You may cancel your subscription at any time via the DineLoom Tenant Admin portal or by notifying support in writing at support@dineloom.com. Cancellation takes effect at the expiration of the active prepaid billing cycle.
• No Pro-Rata Refunds for Active Cycles: Due to immediate cloud provisioning, database allocation, and platform maintenance expenses, payments for active monthly or annual cycles are non-refundable once the cycle has commenced.
• Duplicate Charges: In the event of an accidental duplicate transaction or billing error attributable to our systems, verified excess amounts will be refunded to the original payment method within 7–10 banking business days.
• Free Trials: Where a trial period is provided, no charges occur until the conclusion of the designated trial window. You may opt out anytime before the trial concludes without incurring fees.

Rainbow Techsol commits to commercially reasonable efforts to ensure DineLoom maintains high reliability:

• Target Availability: We target a minimum 99.5% uptime for POS APIs, KDS routing, and customer QR menus, excluding scheduled maintenance.
• Scheduled Maintenance: Routine updates, security patches, and cloud maintenance will be scheduled during off-peak hours (typically 02:00 AM to 05:00 AM IST) with prior notice displayed on the POS dashboard.
• Local Network & Hardware: Rainbow Techsol is not liable for service interruptions caused by local internet service provider outages, faulty tablet/printer hardware, improper router configurations, or power failures at the restaurant premises.

Each Restaurant Tenant covenants and agrees to:

• FSSAI & Health Compliance: Comply with all laws, rules, and sanitary regulations governing food safety and licensing in your jurisdiction.
• Menu & Price Accuracy: Ensure all item names, descriptions, allergens (e.g., peanuts, dairy, gluten), dietary classifications (Veg, Non-Veg, Egg), and prices (including taxes and packaging fees) entered into the DineLoom catalog are 100% accurate and up-to-date.
• Customer Grievances: Resolve all diner complaints, food quality disputes, wrong item deliveries, table reservation disputes, and customer refund requests directly with the diner. Rainbow Techsol accepts zero responsibility or liability for food safety or customer dining experiences.

When diners use DineLoom contactless QR table ordering (at order.dineloom.com or a restaurant subdomain):

• Direct Contract with Restaurant: Scanning a QR code and ordering food forms a direct, binding contract solely between you (the Diner) and the respective restaurant establishment. DineLoom merely provides the digital ordering interface.
• Order Finality: Once an order is placed and accepted by the kitchen (moving to PREPARING status on the KDS), cancellations or modifications are at the sole discretion of the restaurant staff.
• Allergens & Dietary Restrictions: While DineLoom displays dietary tags configured by the restaurant, diners with severe allergies or medical restrictions must verify preparation practices directly with restaurant staff before placing orders.
• Payments & Refunds for Food: If you pay online for a meal, payments are received either directly by the restaurant or settled to them. Any disputes regarding food quality, delayed preparation, or requests for refunds must be resolved directly with restaurant management.

All rights, titles, and interests in and to the DineLoom platform, including but not limited to:

• Underlying software code (NestJS backend, Next.js customer app, POS client, Admin dashboard, KDS UI), algorithms, database schemas, and architectural logic;
• Graphic design, layouts, iconography, brand names (“DineLoom”, “Rainbow Techsol”), logos, taglines, and marketing content;

are the exclusive, proprietary intellectual property of RBTS Innovations Private Limited, protected by Indian and international copyright, trademark, and intellectual property laws.

License Grant to Tenant: Subject to these Terms and active subscription payment, Rainbow Techsol grants the Restaurant Tenant a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to use the platform solely for internal restaurant operations during the subscription term.

Tenant Content: The Restaurant Tenant retains ownership of its uploaded restaurant logos, dish photography, menu descriptions, and business trade dress. You grant Rainbow Techsol a royalty-free license to host, display, and format such assets for your online menu and marketplace listings.

You expressly agree not to engage in any of the following prohibited activities:

• Decompiling, disassembling, reverse engineering, or attempting to discover the source code of DineLoom or its APIs.
• Circumventing, tampering with, or attempting to breach any security control, multi-tenant database filter, or authentication mechanism.
• Deploying automated bots, spiders, crawlers, or scrapers against DineLoom URLs without prior written authorization from Rainbow Techsol.
• Using DineLoom to facilitate fraudulent payment activities, money laundering, chargeback fraud, or any transaction violating applicable financial regulations.
• Uploading malicious files, Trojan horses, spyware, or offensive/defamatory material to restaurant profiles or menus.

Violation of this section shall result in immediate termination of the offending account without notice or refund, and may subject the violator to civil and criminal prosecution.

DineLoom integrates with external third-party service providers (such as Razorpay, PhonePe, Stripe, Twilio, Fast2SMS, Swiggy, and Zomato). Your use of these integrations is governed by the respective terms of service of those third parties.

Rainbow Techsol is not responsible for any downtime, API modifications, fee changes, or service failures originating from external third-party systems.

DINELOOM IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL RAINBOW TECHSOL, RBTS INNOVATIONS PRIVATE LIMITED, ITS DIRECTORS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR:

• ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES WHATSOEVER;
• LOSS OF RESTAURANT REVENUE, LOSS OF PROFITS, LOSS OF ANTICIPATED SALES, LOSS OF BUSINESS OPPORTUNITY, OR LOSS OF DATA;
• FOOD POISONING, ALLERGIC REACTIONS, CONTAMINATION, OR PERSONAL INJURY RESULTING FROM FOOD PREPARED OR SERVED BY ANY RESTAURANT TENANT;
• PAYMENT DISPUTES, BANKING REVERSALS, CHARGEBACKS, OR FINANCIAL FRAUD CONDUCTED BY MERCHANTS OR DINERS.

NOTWITHSTANDING ANYTHING TO THE CONTRARY, THE AGGREGATE TOTAL LIABILITY OF RAINBOW TECHSOL / RBTS INNOVATIONS PRIVATE LIMITED ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE USE OF DINELOOM SHALL BE STRICTLY LIMITED TO THE TOTAL SUBSCRIPTION AMOUNT ACTUALLY PAID BY THE RESTAURANT TENANT TO US IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

You agree to defend, indemnify, and hold harmless Rainbow Techsol, RBTS Innovations Private Limited, its directors, officers, and employees from and against any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from:

• Your breach or alleged breach of any provision of these Terms;
• Your food preparation, customer health incidents, food safety violations, or failure to comply with FSSAI / public health mandates;
• Any tax evasion, incorrect GST reporting, or pricing deception committed by your establishment;
• Your infringement of any third-party intellectual property or privacy right through uploaded content.

These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the substantive laws of the Republic of India, without regard to conflict of law principles.

Any legal proceeding, lawsuit, or controversy arising out of or relating to DineLoom, Rainbow Techsol, or RBTS Innovations Private Limited shall be subject to the exclusive jurisdiction of the competent courts located in Bhabua, Kaimur, Bihar, India. Both parties hereby consent to personal jurisdiction and venue in such courts.

For formal legal communications, contract notices, or inquiries concerning these Terms and Conditions, please direct correspondence to:

Rainbow Techsol reserves the right to revise or update these Terms periodically. Notice of material changes will be provided via email or posted prominently within the POS and website. Continued use of DineLoom after such changes constitutes full acceptance of the revised Terms.
